1. Introduction

These Terms of Use (the "Terms") constitute a legally binding agreement between you (the "User") and COCILIVE LIMITD (the "Company", "we", "us") regarding your use of the ScanMaster (the "Product"). By accessing or using the Product, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to all the terms and conditions herein, you must not use the Product. These Terms set forth the rules, rights, and obligations governing your use of the Product, as well as the Company's practices for handling your data. It is crucial that you review these Terms carefully prior to using the Product to ensure you fully understand your rights and responsibilities when utilizing the Company's services.

2. Product Information

The core functions of the Product include enabling you to use your device's camera to scan barcodes or QR codes, and accessing images from your local photo album for scanning-related operations. A distinctive feature of the Product is that no account registration or login is required for use. This design is intended to provide you with a more convenient and privacy-friendly experience, allowing you to use the Product's functions immediately without going through account-related procedures.

3. Permission Description

3.1 Camera Permission

The Product requests camera permission solely to enable the barcode and QR code scanning function. When you use the scanning feature, the Product needs to access the camera to capture images of barcodes or QR codes. This allows the Product to analyze the encoded information and provide you with relevant content or services (e.g., retrieving product details quickly). Without this permission, the scanning-based functions of the Product will be unavailable.

3.2 Photo Album Permission

The Product requests local photo album permission to allow you to select existing images containing barcodes or QR codes from your album for scanning. There may be instances where you have saved such images in your album, and this permission enables the Product to access those specific images. Once accessed, the Product performs the same analysis as it does for camera-captured images to extract information from the codes. This provides greater flexibility in using the scanning feature, as you are not limited to capturing codes in real time via the camera. If you do not grant this permission, you will be unable to use the function of scanning codes from local album images.

As a User of the Product, you agree to strictly comply with the following obligations during your use of the Product to ensure the legitimate, orderly, and secure operation of the Product and related services:

5. Intellectual Property Rights

All intellectual property rights related to the Product (including but not limited to the Product itself, all content, functional designs, interface layouts, interaction logic, brand logos, trademarks, service marks, text descriptions, graphics, icons, and the underlying software technologies, algorithms, source codes, and database systems supporting the Product's operation) are exclusively owned by the Company or the relevant intellectual property right holders authorized by the Company. These rights are protected by the Copyright Law, Trademark Law, Patent Law, and other applicable intellectual property laws and international treaties.

These Terms only grant you a non-exclusive, non-transferable, non-sublicensable, and revocable right to use the Product and its services for personal, non-commercial purposes in accordance with these Terms. Except for the explicit license granted herein, these Terms do not transfer, assign, or license any of the Product's intellectual property rights to you in any form. You shall not use any intellectual property rights related to the Product beyond the scope of this license, including but not limited to copying, reproducing, distributing, displaying, performing, broadcasting, adapting, modifying, or using the Product's content or functions for commercial purposes without the Company's prior written permission.

If you discover any acts that may infringe on the Product's intellectual property rights, please promptly notify the Company via the official contact information provided in these Terms, and the Company will take appropriate measures in a timely manner.

Your privacy is important to the Company. The Company's Privacy Policy explains how the Company handles your information. By using the Product, you consent to the data practices described in the Privacy Policy.

7. Disclaimer of Warranties

THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PRODUCT WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

You agree to defend, indemnify, and hold harmless the Company and its licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Product.

10. Termination

These Terms shall remain in effect until terminated by you or the Company. You may terminate these Terms by uninstalling the Product. The Company may terminate or suspend your access to the Product immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

11. Governing Law

This Term shall be governed by and construed in accordance with the laws of Singapore.

12. Changes to This Term

The Company reserves the right, in its sole discretion, to modify or replace these Terms at any time. If a revision is material, the Company will provide notice prior to the new terms taking effect. What constitutes a material change shall be determined in the Company's sole discretion.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision shall be adjusted and interpreted to achieve the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall remain in full force and effect.
